Cuthbert T. Kazora is the Managing Partner of our firm & continues to spend his time advising clients

Cuthbert is a seasoned legal practitioner with 12 years of experience in banking, finance and transactional law. He advises multinational banks, telecoms, agro-product and petroleum companies on a wide range of legal matters, including securities, compliance and capital markets.

He has represented and advised leading financial institutions such as NMB Plc, ABSA, Eco Bank, Amana Bank and Bank of Baroda, among others. His work includes drafting and perfecting security documents, advising on enforcement and registration of securities and guiding banks on regulatory compliance.

Cuthbert also has expertise in capital markets, having contributed to the Exim Bank Bond issuance and the Maendeleo Bank Rights Issue. He is eligible to be a certified capital markets dealer, having completed the Securities Industries Certification Course.

In the fintech space, he has advised on regulatory compliance and successfully led licensing efforts, including obtaining a Payment Systems Licence for the National Bank of Commerce. He also regularly advises clients on tax issues such as withholding tax, transfer pricing, thin capitalization and corporate income tax.

Before co-founding Theodore Attorneys, Cuthbert worked at CRB Africa Legal, Abenry & Company Advocates and served as Business Advisory Manager at the National Bank of Commerce.

 
NIT Lindi Maritime, Oil & Gas Campus Feasibility Study (2024)
 
Role: Legal Advisor
Served as legal advisor in the Government‑commissioned feasibility study for the proposed TSh 40 billion NIT Lindi Campus, a flagship project aimed at developing a regional centre of excellence for maritime, oil, and gas training. Advised on the legal and regulatory framework, accreditation requirements, land and ESIA compliance, and institutional governance. Supported stakeholder engagement with ministries, regulators, and local authorities, ensuring alignment with national policies and Parliament’s sustainability and ROI directives.
 
DIGEAT Mutual Recognition System (MRS) – Regional DPIA & Regulatory Analysis (East African Community)
 
Role: Tanzanian Legal Advisor
Served as the Tanzanian Legal Advisor for the Data Protection Impact Assessment (DPIA) of the Digitalization for East African Trade and Integration (DIGEAT) Mutual Recognition System, a regional platform enabling cross‑border digital recognition of professional engineering licenses across EAC Partner States. Provided legal guidance on Tanzania’s data protection and regulatory compliance requirements, assessed national‑level data processing implications, and advised on privacy, security, and interoperability considerations for the system’s rollout.
 
Additionally contributed to the preparation of a comprehensive comparative analysis of the data protection regulatory frameworks of Kenya, Rwanda, Uganda, and Tanzania, evaluating their applicability to DIGEAT’s cross‑border data processing and mutual recognition workflows. This work formed a core component of the inception‑stage DPIA, supporting risk identification, regulatory alignment, and the roadmap for full DPIA development.
 
Design & Construction of a 600‑Passenger Vessel – Lake Tanganyika

Role: Lead Legal Advisor
 
Cuthbert advised TSCL on the full procurement and contracting process for the design and construction of a new 600‑passenger, 400‑tonne cargo vessel for Lake Tanganyika. His work covered tender documentation, evaluation support, negotiations with the winning consortium (GAS ENTEC CO., LTD JV DMG), and preparation of the final award instruments. The project marks one of the region’s most significant maritime transport investments.
